Ovintiv to Buy Logan Energy for C$1.26 Billion, Adding 266,000 Net Montney Acres and 20,000 boe/d

Ovintiv agreed to buy Logan Energy for C$1.40 per share, adding 266,000 net Montney acres and 20,000 boe/d of output at about C$63,000 per flowing barrel.

Ovintiv Inc. agreed on Oct. 26 to acquire Logan Energy Corp. for C$1.40 per share in cash, a transaction valued at about US$890 million (C$1.26 billion) including assumed net debt. The deal adds roughly 266,000 net acres in the Alberta Montney oil window and about 20,000 barrels of oil equivalent per day of current production. Both boards approved the arrangement unanimously.

What Ovintiv Is Buying in the Montney

The acreage sits mainly in the Simonette and Pouce Coupe areas. About 200,000 of the net acres are core Montney, 80% of them undeveloped, and a further 60,000 net acres carry Duvernay shale exposure. Ovintiv said its core Montney position would rise to about 720,000 net acres after closing.

Current output from the assets is about 20,000 barrels of oil equivalent per day. That comprises about 7,000 barrels per day of oil and condensate, 70 million cubic feet per day of natural gas and 1,000 barrels per day of other natural gas liquids. Ovintiv counts about 420 net 10,000-foot equivalent oil well locations, of which 220 are premium locations with returns above 35% at US$55 per barrel WTI and US$2.75 per million British thermal units NYMEX gas.

Ovintiv also gains midstream capacity. It would own 100% of two new oil batteries at Simonette with combined capacity of 24,000 barrels per day, the first online since the third quarter and the second expected by the end of the first quarter of 2027. It would hold 50% of the Simonette gas plant (90 million cubic feet per day) and 65% of the Pouce Coupe plant (57 million cubic feet per day).

How the Price Works Out

Oil Authority divided the transaction value by current production. The result is about US$44,500, or C$63,000, per flowing barrel of oil equivalent per day. That figure includes the two batteries, the gas plant interests and the undeveloped Duvernay acreage, so it overstates the price of production alone.

On land, the C$1.26 billion value equates to about C$4,700 per net acre across all 266,000 acres. The 220 premium locations, at the company's stated average cost of US$1.5 million each, would require roughly US$330 million of drilling capital to develop in full.

Where It Fits in Ovintiv's Portfolio

Ovintiv reported third-quarter results on Nov. 3. Montney production averaged 395,000 barrels of oil equivalent per day in the quarter, 27% of it liquids, from 28 net wells turned in line. The Logan assets would add about 5% to that figure and about 3% to total company output of 631,000 barrels of oil equivalent per day.

The liquids mix matters more than the volume. Logan's 7,000 barrels per day of oil and condensate equals about 3% of Ovintiv's total oil and condensate output of 204,000 barrels per day. Ovintiv guided fourth-quarter Montney oil and condensate of 75,000 to 80,000 barrels per day, lower than the prior quarter because of higher royalty rates and an extended third-party midstream outage.

Brendan McCracken, Ovintiv's president and chief executive, said in the Oct. 26 release that the Logan assets have demonstrated leading oil productivity performance. In the Nov. 3 release he said the company is on track to achieve record annual free cash flow. Ovintiv expects the transaction to add about 5% to non-GAAP cash flow per share and about 3% to non-GAAP free cash flow per share in 2027.

Funding, Spin-Out and Timeline

Ovintiv plans to fund the purchase from cash on hand, its credit facility and its commercial paper program. Third-quarter net debt was US$3.4 billion, or 0.7 times adjusted EBITDA. The company said its 2026 shareholder return target of more than 60% of non-GAAP free cash flow is unchanged; it returned about US$467 million, or 69%, in the third quarter.

The structure also separates assets outside the Montney and Duvernay fairways. Logan Oil Corp., a new wholly owned Logan subsidiary, will be distributed to Logan shareholders. Under the arrangement agreement, Logan Oil must raise gross proceeds of at least $100 million at $1.00 per share or unit and apply for a TSX Venture Exchange listing before the arrangement takes effect.

Logan shareholders will receive the C$1.40 in cash plus shares of the new company. Directors and executive officers of Logan have signed support agreements. The agreement requires Logan to mail its circular by Nov. 25 and hold the shareholder meeting no later than Jan. 4, 2027. Closing also needs court and regulatory approvals, and Ovintiv expects it early in the first quarter of 2027.

What to Watch

The circular due by Nov. 25 will carry the details the announcement omitted, including the Logan Oil share distribution. Regulatory review will show whether the transaction draws conditions. Ovintiv's fourth-quarter guidance assumes the Montney midstream outage lasts the full quarter, so an earlier restart would improve its liquids outlook. Montney operators now have a reference point for oil-weighted acreage with processing capacity attached.
